PUBLIC OFFER AGREEMENT
(for provision of online language learning services)
Effective date: 27.02.2026
1. General Provisions
1.1. This document is a public offer (hereinafter — the “Agreement”) of Ukrainity (hereinafter — the “Provider”) to conclude an agreement for the provision of online language learning services.
1.2. By using the website, booking lessons, or making a payment, the user (hereinafter — the “User”) accepts the terms of this Agreement in full.
1.3. The Agreement is concluded in accordance with the legislation of Ukraine.
2. Subject of the Agreement
2.1. The Provider offers online language learning services, including individual lessons, speaking sessions, and educational programs.
2.2. Services are provided remotely via online communication tools.
2.3. The list of services, formats, durations, and conditions are defined on the official Ukrainity website.
3. Services and Conditions
3.1. Online lessons are conducted at a mutually agreed time between the Provider and the User.
3.2. Booking of lessons is available no earlier than 24 hours after payment is received.
3.3. The duration of access to purchased services is determined by the selected program.
3.4. All relevant information, instructions, and access details (if applicable) are sent to the User’s email provided during payment.
4. Pricing and Payment
4.1. The current prices for services are indicated on the official Ukrainity website.
4.2. The price of individual lessons, lesson packages, and participation in speaking clubs may change depending on promotions, seasonal offers, or other factors.
4.3. Payment must be completed before the start of service provision.
5. Cancellation and Rescheduling Policy
5.1. A lesson may be cancelled or rescheduled no later than 12 hours before its scheduled start.
5.2. If cancellation or rescheduling occurs less than 12 hours before the lesson, the lesson is considered completed and charged in full (100%).
5.3. In case of a no-show by the User, the lesson is considered completed and charged in full.
5.4. If a lesson does not take place due to the Provider’s fault, it will not be counted and will be rescheduled.
6. Additional Terms
6.1. Services are provided within the validity period of the purchased package.
6.2. The Provider may use third-party tools and platforms to deliver services.
6.3. In case of discrepancies between this Agreement and the information on the website, the website information prevails.
7. User Responsibilities
7.1. The User agrees to provide accurate information.
7.2. The User agrees to behave respectfully during lessons.
7.3. The User is responsible for having the necessary technical means (internet, device, etc.).
8. Limitation of Liability
8.1. The Provider is not responsible for indirect, incidental, or consequential damages.
8.2. The Provider’s total liability is limited to the amount paid by the User for the services.
9. Dispute Resolution
9.1. All disputes shall be resolved through negotiations.
9.2. If no agreement is reached, disputes shall be resolved in accordance with Ukrainian law.
9.3. Disputes may be submitted to the International Commercial Arbitration Court at the Ukrainian Chamber of Commerce and Industry.
10. Force Majeure
10.1. Neither party is liable for failure to perform obligations due to force majeure events.
10.2. Such events include war, natural disasters, government actions, etc.
10.3. The affected party must notify the other within 7 days.
10.4. Technical issues caused by force majeure are not the Provider’s responsibility.
10.5. The following are not considered force majeure: lack of time, internet access, device issues, or insufficient knowledge level.
11. Final Provisions
11.1. The Provider may update this Agreement at any time.
11.2. The updated version is published on the website.
11.3. Continued use of the services means acceptance of the updated terms.

ДОГОВІР ПУБЛІЧНОЇ ОФЕРТИ
(про надання онлайн-послуг з вивчення мови)

1. Загальні положення
1.1. Цей документ є публічною офертою (далі — «Договір») онлайн-школи Ukrainity (далі — «Виконавець») щодо укладення договору про надання онлайн-послуг.
1.2. Акцептом цієї оферти є використання Сайту, бронювання занять або здійснення оплати Послуг Користувачем (далі — «Користувач»).
1.3. Договір укладається відповідно до законодавства України.
2. Предмет Договору
2.1. Виконавець надає Користувачу онлайн-послуги з вивчення мови, зокрема індивідуальні заняття, розмовні сесії (speaking club) та освітні програми.
2.2. Послуги надаються дистанційно із використанням онлайн-засобів комунікації.
2.3. Перелік послуг, формати, тривалість занять та інші умови визначаються на офіційному сайті Ukrainity.
3. Порядок надання Послуг
3.1. Онлайн-заняття проводяться у попередньо погоджений Сторонами час.
3.2. Бронювання занять можливе не раніше ніж через 24 години з моменту оплати.
3.3. Строк використання послуг визначається обраною Користувачем програмою.
3.4. Вся необхідна інформація, інструкції та доступ до матеріалів (за наявності) надсилаються на електронну адресу Користувача.
4. Вартість та оплата
4.1. Актуальна вартість послуг зазначається на офіційному сайті Ukrainity.
4.2. Вартість індивідуальних занять, пакетів занять та участі у speaking club може змінюватися залежно від акцій, спеціальних пропозицій та сезонних змін.
4.3. Оплата здійснюється до початку надання Послуг.
5. Скасування та перенесення занять
5.1. Користувач може скасувати або перенести заняття не пізніше ніж за 12 годин до його початку.
5.2. У разі скасування або перенесення менш ніж за 12 годин до початку заняття, заняття вважається проведеним та підлягає оплаті у розмірі 100%.
5.3. У разі неявки Користувача заняття вважається проведеним.
5.4. Якщо заняття не відбулося з вини Виконавця, воно не зараховується та переноситься.
6. Додаткові умови
6.1. Послуги надаються протягом строку дії обраної Програми.
6.2. Виконавець може використовувати сторонні сервіси для надання Послуг.
6.3. У разі розбіжностей між цим Договором та інформацією на сайті Ukrainity, пріоритет має інформація, розміщена на сайті.
7. Обов’язки Користувача
7.1. Користувач зобов’язується надавати достовірну інформацію.
7.2. Дотримуватися етичної поведінки під час занять.
7.3. Самостійно забезпечити технічні умови (інтернет, пристрій тощо).
8. Обмеження відповідальності
8.1. Виконавець не несе відповідальності за непрямі, випадкові або побічні збитки.
8.2. Максимальна відповідальність Виконавця обмежується сумою, сплаченою Користувачем за Послуги.
9. Відповідальність Сторін та вирішення спорів
9.1. Сторони несуть відповідальність відповідно до законодавства України.
9.2. Усі спори вирішуються шляхом переговорів.
9.3. У разі недосягнення згоди — відповідно до законодавства України.
9.4. Спори можуть передаватися до Міжнародного комерційного арбітражного суду при ТПП України.
10. Форс-мажорні обставини
10.1. Сторони звільняються від відповідальності у разі дії форс-мажорних обставин.
10.2. До таких обставин належать: війна, стихійні лиха, рішення органів влади тощо.
10.3. Сторона повинна повідомити про такі обставини протягом 7 днів.
10.4. Не вважаються форс-мажором:• відсутність часу;• проблеми з інтернетом;• несправність пристрою;• недостатній рівень знань.
11. Заключні положення
11.1. Виконавець має право змінювати умови цього Договору.
11.2. Оновлена версія публікується на сайті.
11.3. Подальше використання Послуг означає згоду з оновленнями.
